These Terms of Service ("Terms") govern your use of the Adoptek website at adoptek.ai (the "Site") and any information, tools, or services offered through it (together, the "Services"), operated by Adoptek, LLC ("Adoptek," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who we are and what we do

Adoptek helps small and midsize businesses plan, design, implement, and adopt AI. We are vendor-neutral and take no reseller fees. The Site provides general information about our services, along with tools such as our free assessment and contact forms.

2. Informational purpose; not professional advice

Content on the Site, and any assessment results, recommendations, or AI-generated output we share, are provided for general informational purposes only. They are not legal, financial, tax, or other professional advice, and should not be relied on as a substitute for advice from a qualified professional. You are responsible for reviewing and verifying any output or recommendation before acting on it, and for the decisions you make.

3. AI tools and outputs

Our work involves artificial intelligence, including third-party AI tools and models. AI systems have inherent limitations: their output can be incomplete, inaccurate, biased, or out of date, and may produce unexpected results. We do not warrant that any AI output will be accurate, complete, or fit for a particular purpose. You remain responsible for human review and oversight of any AI-assisted output before relying on it.

4. Third-party tools and links

Because we are vendor-neutral, we may recommend or work with third-party products and services. We do not control these third parties and are not responsible for their availability, performance, output, pricing, terms, or changes. Your use of any third-party tool is governed by that provider's own terms and privacy policies, and you agree to comply with them. Links to third-party sites are provided for convenience only and are not an endorsement.

5. Engagements

These Terms cover your use of the Site. Any paid engagement is governed by a separate written agreement between you and Adoptek. Nothing on the Site is an offer to enter into such an agreement, and using the Site does not by itself create a consulting, advisory, or other professional relationship.

6. Acceptable use

You agree to use the Site lawfully and not to misuse it, including by attempting to gain unauthorized access, interfering with its operation, scraping or harvesting data, uploading harmful code, or using it to infringe the rights of others.

7. Intellectual property

The Site and its content, including text, graphics, logos, and the Adoptek name and marks, are owned by Adoptek, LLC or its licensors and are protected by law. You may view and use the Site for your own informational purposes, but you may not copy, reproduce, or distribute its content without our written permission.

8. Your submissions

If you send us information through a form, email, or assessment, you confirm it is accurate and that you have the right to share it. We handle the information you provide as described in our Privacy Policy.

9. Disclaimer of warranties

The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the fullest extent permitted by law, Adoptek, LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or reliance on any content or output. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Adoptek, LLC and its members, employees, and contractors from any claims, losses, or expenses, including reasonable attorneys' fees, arising out of your use of the Site or your violation of these Terms.

12. Confidentiality

If we exchange non-public information in connection with an inquiry or assessment, each party agrees to use it only for that purpose and to take reasonable steps to keep it confidential. Detailed confidentiality terms for paid work are set out in our engagement agreements.

13. Governing law

These Terms are governed by the laws of the state in which Adoptek, LLC is organized, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in that state, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, and the "Last updated" date above shows the latest revision. Your continued use of the Site means you accept the updated Terms.
